Welcome to We Build AI Agents (“we,” “us,” or “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website at webuildaiagents.com (the “Site”) and our AI agent marketplace platform (the “Platform” or “Services”).

We Build AI Agents is operated by We Conquer Media LLC, a company registered in Wyoming, United States (Registration No: 372147766, 30 North Gould Street, Sheridan, WY 82801).

By accessing or using our Site or Services, including joining our waitlist or purchasing lifetime access, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use our Site or Services.

2. Eligibility

You must be at least 18 years of age to use our Site or Services. By using our Site or Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

If you are accessing our Site or Services on behalf of a company or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

3. Waitlist Registration

3.1 Joining the Waitlist

You may join our waitlist by providing your email address, first name, last name, and optionally your company name. By joining the waitlist, you agree to receive email communications from us regarding our Platform launch, updates, and promotional offers.

3.2 No Obligation

Joining the waitlist does not create any obligation for you to purchase our Services, nor does it guarantee that you will receive access to the Platform.

3.3 Opting Out

You may unsubscribe from waitlist emails at any time by clicking the “Unsubscribe” link in any email or by contacting us at [email protected].

4. Lifetime Access Purchase

4.1 Lifetime Access Offer

During our waitlist period, we offer a limited number of “Lifetime Access” memberships for a one-time payment of $2,499 USD (the “Lifetime Offer”). This offer is available only to waitlist members and is subject to availability (limited to a specified number of spots).

4.2 What “Lifetime Access” Means

“Lifetime Access” means that you will have access to our Platform and all current and future AI agents for as long as the Platform exists and operates. Lifetime Access is valid for the lifetime of the Platform, not your personal lifetime. If We Build AI Agents ceases operations, is shut down, or is discontinued for any reason, your Lifetime Access will terminate, and we will not be obligated to provide refunds or compensation beyond the 7-day money-back guarantee period (see Section 5 below).

4.3 What Lifetime Access Includes

Your Lifetime Access includes:

Access to all current AI agents available on the Platform at the time of purchase
Access to all future AI agents released on the Platform (you will never pay extra for new agents)
All Platform updates, features, and improvements
Priority customer support

4.4 What Lifetime Access Does NOT Include

Lifetime Access does not include:

Access to third-party tools or services required to use certain agents (e.g., Make.com, Airtable, Notion). You are responsible for obtaining and paying for any required third-party tools.
Direct one-on-one coaching, consulting, or personalised agent development (unless otherwise specified)
Guaranteed uptime or availability (we will make reasonable efforts to maintain the Platform, but technical issues may occur)

4.5 Payment

Payment for Lifetime Access is processed securely via Stripe. By purchasing Lifetime Access, you authorise us to charge your payment method the full amount of $2,499 USD. You agree to provide accurate and complete payment information and to update your payment information if it changes.

4.6 Non-Transferable

Lifetime Access is non-transferable. You may not sell, transfer, or assign your Lifetime Access membership to another person or entity. Any attempt to do so will result in immediate termination of your access without refund.

4.7 Promotional Pricing

The $2,499 USD Lifetime Access price is a promotional offer available only during the waitlist period. After the public launch, Lifetime Access may no longer be available, or it may be offered at a higher price. We reserve the right to change pricing at any time.

5. Refund and Cancellation Policy

5.1 7-Day Money-Back Guarantee

We offer a 7-day money-back guarantee for Lifetime Access purchases, starting from the date the Platform launches and you receive access to your account (not from the date of purchase during the waitlist period).

If you are not satisfied with the Platform within the first 7 days of receiving access, you may request a full refund by contacting us at [email protected].

5.2 Refund Processing

Refunds will be processed within 14 business days of your request and will be issued to the original payment method used for the purchase.

5.3 No Refunds After 7 Days

After the 7-day money-back guarantee period expires, no refunds will be issued under any circumstances. This includes:

Dissatisfaction with the Platform or Services
Inability to use the Platform due to technical issues on your end
Changes in your business needs or circumstances
Termination of your access due to violation of these Terms

5.4 Platform Shutdown or Discontinuation

Lifetime Access is valid only for the lifetime of the Platform (as described in Section 4.2). If We Build AI Agents ceases operations, is shut down, or discontinues the Platform for any reason, no refunds will be issued, regardless of when the shutdown occurs. Your Lifetime Access terminates when the Platform terminates. The 7-day money-back guarantee (Section 5.1) applies only to user dissatisfaction with the Platform, not to platform shutdown or discontinuation.

6. User Accounts

6.1 Account Creation

To access the Platform, you must create an account by providing accurate and complete information, including your name, email address, and payment details (for Lifetime Access purchasers).

6.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Use a strong, unique password
Not share your account credentials with others
Notify us immediately at [email protected] if you suspect unauthorised access to your account

We are not liable for any loss or damage arising from unauthorised access to your account due to your failure to safeguard your credentials.

6.3 Account Termination by You

You may request to cancel your account at any time by contacting us at [email protected]. Please note:

Lifetime Access is non-refundable after the 7-day money-back guarantee period.
If you cancel your Lifetime Access account, you will not be permitted to re-register for Lifetime Access or re-access the Platform for a period of 1 year from the date of cancellation. This is to prevent abuse of the refund policy.

6.4 Account Termination by Us

We reserve the right to suspend or terminate your account and access to the Platform at any time, with or without notice, if we believe you have violated these Terms or engaged in conduct that we deem inappropriate or harmful. Reasons for termination may include, but are not limited to:

Violation of these Terms
Fraudulent or illegal activity
Abuse of the Platform or Services
Reselling, redistributing, or transferring your Lifetime Access
Harassment of other users or our team members

If your account is terminated for violation of these Terms, you will not be entitled to a refund, regardless of whether the 7-day money-back guarantee period has expired.

7. Intellectual Property Rights

7.1 Ownership of Platform and Agents

The Platform, including all AI agent workflows, templates, code, designs, graphics, text, and other content, is owned by We Build AI Agents (We Conquer Media LLC) and is protected by copyright, trademark, and other intellectual property laws.

You acknowledge that we retain all rights, title, and interest in and to the Platform and the underlying AI agent workflows. Your purchase of Lifetime Access grants you a limited, non-exclusive, non-transferable licence to use the Platform and agents for your personal or business use, subject to these Terms.

7.2 Ownership of User-Generated Content

You retain all rights, title, and interest in and to any content, data, or outputs that you create, generate, or produce using our AI agents (collectively, “User Content”). We do not claim ownership of your User Content.

By using the Platform, you grant us a limited, non-exclusive, royalty-free licence to use, display, and store your User Content solely for the purpose of providing and improving the Platform and Services.

7.3 Restrictions on Use

You agree not to:

Copy, modify, reverse-engineer, or create derivative works of the Platform or AI agent workflows
Resell, redistribute, sublicence, or transfer your Lifetime Access or any agents to third parties
Use the Platform to create competing products or services
Remove or alter any copyright, trademark, or proprietary notices on the Platform
Use the Platform for any illegal or unauthorised purpose

Violation of these restrictions may result in immediate termination of your access without refund and may subject you to legal liability.

7.4 Personal Use Only

Lifetime Access is intended for personal or internal business use only. You may not use the Platform or agents to provide services to third parties (e.g., as an agency offering agent deployment to clients) without our express written permission.

8. User Conduct and Prohibited Activities

You agree to use the Platform in a lawful and respectful manner. You agree not to:

Violate any applicable laws, regulations, or third-party rights
Engage in fraudulent, deceptive, or misleading conduct
Upload or transmit viruses, malware, or other harmful code
Attempt to gain unauthorised access to the Platform or other users’ accounts
Interfere with or disrupt the operation of the Platform
Harass, threaten, or abuse other users or our team members
Use the Platform to send spam, unsolicited advertisements, or bulk messages
Scrape, crawl, or extract data from the Platform using automated tools without our permission

We reserve the right to investigate and take appropriate action against anyone who violates these rules, including reporting violations to law enforcement authorities.

9. Third-Party Tools and Integrations

9.1 Required Third-Party Tools

Some AI agents on the Platform may require you to have accounts or subscriptions with third-party tools or services (e.g., Make.com, Airtable, Notion, Google Workspace). You are solely responsible for:

Obtaining and paying for any required third-party tools
Complying with the terms of service of those third-party tools
Ensuring compatibility between the Platform and those third-party tools

We are not responsible for any issues, costs, or limitations arising from your use of third-party tools.

9.2 No Endorsement

Our integration with or mention of third-party tools does not constitute an endorsement of those tools. We are not responsible for the performance, availability, or terms of service of any third-party tools.

9.3 Changes to Third-Party Tools

If a third-party tool changes its features, pricing, or terms of service in a way that affects the functionality of our AI agents, we will make reasonable efforts to update the agents or provide alternatives. However, we are not liable for disruptions caused by third-party tool changes.

10. Disclaimers and Warranties

10.1 No Guarantees of Results

While our AI agents are designed to save you time and improve efficiency, we do not guarantee any specific results, outcomes, or financial benefits from using the Platform. Your results will depend on factors outside our control, including your business, industry, skills, and effort.

10.2 Platform Provided “As Is”

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

Warranties of merchantability, fitness for a particular purpose, and non-infringement
Warranties that the Platform will be uninterrupted, error-free, or secure
Warranties regarding the accuracy, reliability, or completeness of any content or outputs generated by the AI agents

10.3 AI-Generated Content

AI agents generate content based on algorithms and data. While we strive for quality and accuracy, AI-generated content may contain errors, inaccuracies, or inappropriate content. You are solely responsible for reviewing, editing, and verifying all AI-generated content before using it.

10.4 No Professional Advice

The Platform and AI agents are not intended to provide legal, financial, medical, or professional advice. You should consult with qualified professionals before making decisions based on AI-generated content.

11. Limitation of Liability

To the fullest extent permitted by law:

11.1 No Liability for Indirect Damages

We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

Loss of profits, revenue, or business opportunities
Loss of data or content
Loss of goodwill or reputation
Costs of substitute services

This limitation applies even if we have been advised of the possibility of such damages.

11.2 Cap on Direct Damages

Our total liability to you for any claims arising from or related to these Terms or your use of the Platform shall not exceed the amount you paid for Lifetime Access (i.e., $2,499 USD).

11.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless We Build AI Agents, We Conquer Media LLC, and our officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

Your use of the Platform or Services
Your violation of these Terms
Your violation of any third-party rights, including intellectual property rights, privacy rights, or contractual rights
Any content or data you upload, submit, or generate using the Platform

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

13.2 Jurisdiction

You agree that any legal action or proceeding arising from or related to these Terms or your use of the Platform shall be brought exclusively in the state or federal courts located in Sheridan County, Wyoming, and you consent to the personal jurisdiction of those courts.

13.3 Arbitration (Optional)

If a dispute arises, we encourage you to contact us first at [email protected] to attempt to resolve the matter informally. If we cannot resolve the dispute informally, you may choose to pursue arbitration or litigation in Wyoming courts.

13.4 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action. You waive your right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We reserve the right to modify or update these Terms at any time. If we make material changes, we will notify you by:

Posting the updated Terms on this page with a new “Last Updated” date
Sending you an email notification (if you have provided us with your email address)

Your continued use of the Platform after the changes take effect constitutes your acceptance of the updated Terms. If you do not agree with the updated Terms, you must stop using the Platform.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and We Build AI Agents regarding your use of the Platform and supersede all prior agreements, understandings, or representations.

18. Additional Terms

18.1 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, labour disputes, or technical failures.

18.2 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

18.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.

18.4 Survival

Sections 4 (Lifetime Access Purchase), 5 (Refund and Cancellation Policy), 7 (Intellectual Property Rights), 10 (Disclaimers and Warranties), 11 (Limitation of Liability), 12 (Indemnification), 13 (Governing Law and Dispute Resolution), and any other provisions that by their nature should survive termination, shall survive the termination or expiration of these Terms.
